CONSTITUTION OF App Development Club

Adopted December 2, 2013

Article I - Name

The name of this organization shall be the App Development Club.

Article II - Purpose

The purpose of this association is to create a community for people to learn how to create and sell mobile applications.

Article III - Members

  1. Active Members shall be enrolled students at Oregon State University; have attended two consecutive meetings and have paid the $0.00 dues.
  2. Associate members shall be faculty, staff, or community members interested in app development. They shall not be eligible to hold office or vote.
  3. Annual dues of $0.00 shall be paid by September 30 of each year, after which a member will be dropped for nonpayment of dues.
  4. All voting members and officers of the App Development Club must be currently enrolled for at least 6 credits at Oregon State University and pay student fees.
  5. Membership shall not be denied to any student on the basis of race, color, national origin, religion, sex, sexual orientation, age, marital status, disability, disabled veteran or Vietnam era veteran status.

Article IV - Officers

  1. The officers of the association shall be President, Vice-President, Secretary, Treasurer, and Webmaster. These officers shall perform the duties prescribed by the constitution and bylaws and by the parliamentary authority adopted by the association.
  2. Officers shall be nominated in April or May of each year. Election shall be by secret ballot and the candidates receiving the most votes shall be named to their respective offices.
  3. Officers shall be elected to serve for one year or until their successors are elected, and their terms of office shall begin at the close of the meeting at which they are elected.
  4. Vacancies in offices shall be filled by nomination and voting of a quorum of active members.
  5. Officers shall have earned at least 6 credit hours in their most recently completed term. This requirement does not apply to first-term freshmen or first-term transfer students.
  6. Officers shall be registered for at least 6 hours currently.
  7. Officers shall not be on disciplinary probation.
  8. Officers shall have a minimum cumulative GPA of 2.00 and not have been on probation for the most recently completed term prior to the term of election.
  9. A graduate student must pay student fees and meet the same requirements as an undergraduate student with the exception that full time status shall be a minimum of 6 hours with a minimum cumulative GPA of 3.00.

Article V - Meetings

  1. The regular meetings of the association shall be held on each Tuesday of each month from September to May unless otherwise ordered by the association or by the executive Committee.
  2. The regular meeting on the third Tuesday in April shall be known as the annual meeting and shall be for the purpose of electing officers, receiving reports of officers and committees, and for any other business that may arise.
  3. Special meetings may be called by the President or the Executive Committee and shall be called upon the written request of the association. The purpose of the meeting shall be stated in the notice and three days' notice shall be given except in cases of emergency.
  4. Fifty-one percent (51%) of the members of the association shall constitute a quorum.

Article VI - Relationship

App Development Club shall have no relationship or be controlled by any other local, state or national organization.

Article VII - Activities

The association shall hold regular business meetings with invited speakers on topics of interest. Topics include: developing iPhone, iPad, and iPod Touch applications, the Objective C programming language, Mac development, Application marketing and selling.

Article VIII - Committees

  1. The Executive Committee shall include the officers of the association. They shall supervise affairs of the association between its business meetings, make recommendations to the association and perform other duties as specified in the constitution and bylaws. The Executive Committee shall be subject to the orders of the association and none of its actions shall conflict with actions taken by the association.
  2. Other committees, standing or special, shall be appointed by the President as the association or the Executive Committee deems necessary to carry on the work of the association.

Article IX - Advisor

One or more advisors shall be elected each year in the same manner as the association's officers. Responsibilities shall be those assigned by Oregon State University's Student Conduct Regulations.

Article X - Parliamentary Authority

The rules contained in the current edition of Roberts Rules of Order Newly Revised shall govern the association in all cases to which they are applicable and in which they are not inconsistent with the constitution, bylaws and special rules of order the association may adopt.

Article XI - Procedures for Removing an Officer and/or Revoking Membership

An officer may be removed from office and a membership revoked based on actions harmful to the well-fare and of the club and/or the club’s members by following due process. The officer or member will be informed of documented cause and given a designated amount of time to change, during which time the offending officer or member will be referred to campus resources/advisors for guidance. After said period of time documented reoccurrence of behavior will result in immediate suspension of membership.

Article XII - Selling Applications

  1. At any given time, the App Development Club may have an active project that members can choose to participate in developing. Any profits resulting from sales of this project will go to the App Development Club account.
  2. Members who choose to work on their own applications (i.e. an application that was not organized by the club for voluntary participation) are entitled to all profits from the sales of their application.

Article XIII - Amendments

This constitution may be amended at any regular meeting of the association by two-thirds vote, provide that the amendment has been submitted in writing at the previous regular meeting. All amendments must be approved by the Student Activities Committee.
